Sendikasyon operasyonu, bir kredinin ya da ihracın konsorsiyum yoluyla oluşturulması, dağıtılması ve kapatılmasına kadar uzanan işlemsel sürecin bütünüdür — teklif mektubundan (mandate) başlayıp bilgi memorandumu hazırlığı, katılımcı daveti, dokümantasyon ve fon toplamaya kadar. Proje finansmanında bu sürecin en kritik aşaması, lider bankanın işlemi tam olarak underwrite edip etmediğidir; best efforts temelinde yürütülen bir operasyonda talep yetersiz kalırsa, sponsor kapanış tarihinde beklediği tutarın altında bir bağlanmayla karşılaşabilir. Operasyonun zamanlaması, faiz penceresi ile inşaat takvimini eşzamanlamak zorundadır.
English Definition
A syndicate operation is the entire operational process of forming, distributing, and closing a loan or issue through a syndicate, running from the mandate letter through preparation of the information memorandum, invitation of participants, documentation, and fundraising. In project finance the most critical stage is whether the lead bank has fully underwritten the transaction; on a best-efforts basis, if demand falls short the sponsor may find itself with less committed funding than expected at the closing date. The operation's timing must synchronize the rate window with the construction schedule.
