Sendikasyon, bir kredinin ya da menkul kıymet ihracının tek bir kuruluş tarafından üstlenilip ardından bir grup katılımcıya dağıtılması sürecidir. Amaç, işlemi düzenleyen kurumun tek bir borçluya ya da projeye yoğunlaşmasını sınırlarken, borçlunun ihtiyaç duyduğu büyüklükte finansmana tek bir müzakere hattı üzerinden ulaşmasını sağlamaktır. Proje finansmanında sendikasyonun zamanlaması kritiktir; lider kurum çoğu zaman tüm tutarı önce underwrite edip sonra dağıttığından, dağıtım beklendiği hızda gerçekleşmezse hung kalan pozisyonun taşıma riskini ve fiyat baskısını bu kurum üstlenir.
English Definition
Syndication is the process by which a single institution underwrites a loan or securities issue and then distributes it to a group of participants. The purpose is to limit the arranging institution's concentration on any one borrower or project while giving the borrower access to financing at the required scale through a single negotiation channel. In project finance the timing of syndication is critical; because the lead often underwrites the full amount before distributing, a slower-than-expected distribution leaves that institution bearing the carrying risk and price pressure of a hung position.
