English Definition
A specific circumstance, event, or requirement stipulated in a contract that, upon occurrence, triggers the right or obligation to terminate the agreement. Termination conditions may include material breach, insolvency, failure to achieve performance milestones, or change of control. In project finance agreements, carefully drafted termination conditions protect lender interests while preserving the commercial viability of the project.
