English Definition
The conditions under which securities such as bonds, shares, or notes are offered to investors, including the issue price, coupon rate, maturity date, redemption provisions, and covenants. Terms of issue are disclosed in the prospectus or offering memorandum and form the contractual basis between the issuer and holders. They determine the risk-return profile and marketability of the instrument.
