English Definition
A corporate acquisition structure in which the acquiring company creates a wholly-owned subsidiary that merges with the target company, rather than the acquirer merging directly with the target. In a forward triangular merger, the subsidiary absorbs the target; in a reverse triangular merger, the target absorbs the subsidiary. This structure provides liability insulation for the parent company and may offer tax advantages or facilitate the preservation of the target's contracts and licences.
