English Definition
The primary contract between commercial parties that gives rise to a payment obligation or financial instrument, as distinguished from ancillary or security documents. In trade finance, the underlying agreement is the sale or purchase contract that a letter of credit or guarantee is designed to support. Lenders and guarantors review the underlying agreement to assess the commercial rationale and risk profile of the transaction.
