English Definition
An unsponsored depositary receipt is a negotiable certificate representing shares of a foreign company that is created and issued by one or more depositary banks without the formal participation or consent of the underlying foreign issuer. These instruments are typically established to meet investor demand and may be traded in over-the-counter markets. Unlike sponsored programmes, the issuing company has no obligation to provide financial disclosures beyond those required in its home jurisdiction.
