Upside participation is a contractual right or mechanism that allows an investor, lender, or stakeholder to share in the excess returns or appreciation of an investment beyond a predetermined threshold. In structured finance and mezzanine lending, upside participation provisions may take the form of equity kickers, profit-sharing arrangements, or convertible features. These mechanisms align the interests of capital providers with project performance and incentivise value creation.
