Usual business practice refers to the customary methods, procedures, and standards of conduct that are generally accepted and followed within a particular industry or commercial context. In financial contracts and legal proceedings, actions taken in accordance with usual business practice are typically regarded as reasonable and defensible. Deviation from usual business practice may expose parties to claims of negligence, breach of duty, or breach of representations and warranties.
