A limited partnership structure commonly used to organise venture capital investment activities, comprising general partners who manage the fund and make investment decisions, and limited partners who provide the majority of capital but have no involvement in management. This structure provides limited liability protection for investors while offering tax transparency, as income and gains flow through to partners rather than being taxed at the entity level. Partnership agreements define key terms including capital commitments, fee structures, and profit distribution waterfalls.
