Geçerli ve uygulanabilir olmakla birlikte, yanlış beyan, baskı, haksız etki, ehliyetsizlik veya dolandırıcılık gibi nedenlerle taraflardan birinin tercihiyle feshedilebilen veya geçersiz sayılabilen sözleşmedir. Zarar gören taraf kaçınma hakkını kullanana kadar tüm taraflar için bağlayıcılığını korur. Başlangıçtan itibaren hukuki etkisi olmayan hükümsüz sözleşmeden farklıdır. Fesih hakkı, onayla veya gecikmeyle kaybedilebilir.
English Definition
A contract that is valid and enforceable but may be rescinded or set aside at the election of one or more parties due to circumstances such as misrepresentation, duress, undue influence, incapacity, or fraud. Until the aggrieved party exercises the right to avoid the contract, it remains binding on all parties. A voidable contract differs from a void contract, which has no legal effect from inception. The right to rescind a voidable contract may be lost through affirmation, delay, or if third-party rights have intervened.
