English Definition
The process of dissolving a company and distributing its assets initiated by the members or creditors of the company through a resolution, rather than by order of a court. In the energy sector, voluntary winding up may occur when a project company's concession period expires, when a renewable energy asset reaches end of life, or when the commercial rationale for continuing operations no longer exists. The process requires appointment of a liquidator, notification of creditors, and compliance with statutory winding-up procedures.
