English Definition
Conduct in which the harmful outcome is intended, or pursued with reckless indifference to its likelihood, distinguished from simple negligence by that element of awareness. In EPC and O&M contracts it forms the exception to liquidated-damages caps and the overall liability ceiling, since the contractor becomes exposed to uncapped damages once the threshold is crossed. Because common law and civil law systems draw the line between gross negligence and wilful misconduct differently, the choice of governing law in a multi-jurisdictional deal becomes, in effect, a risk-allocation decision.
