Bir finansman ya da varlık devri yapısında, alacaklının borçlunun ödeme yapmaması hâlinde borçlunun proje dışındaki genel varlıklarına ve sponsorun kişisel malvarlığına başvuramaması; alacağın yalnızca projenin nakit akışı ve teminatıyla sınırlı kalmasıdır. Proje finansmanının kurucu mantığı budur: kredi veren, sponsorun bilançosuna değil, projenin kendi üreteceği nakde bakarak kredi verir ve riskini SPV'nin varlıklarıyla sınırlar. English Definition
A financing or asset-transfer structure in which, upon the borrower's failure to pay, the creditor cannot reach the sponsor's personal wealth or the borrower's assets beyond the project; the claim is confined to the project's cash flow and security. This is the founding logic of project finance: the lender extends credit against the cash the project itself will generate rather than the sponsor's balance sheet, limiting its risk to the SPV's assets. In practice pure non-recourse is rare; lenders carve out limited-recourse holes through completion guarantees, environmental indemnities and specific sponsor undertakings, so the real negotiation is not whether recourse exists but which risks flow back to the sponsor.
