English Definition
A form of signature in which the document records that it was affixed in the presence of a witness other than the signatory and verified by that witness; the purpose is to make later challenges to the signature's authenticity and the signatory's identity harder to sustain. In project finance documents, particularly security deeds and mortgages, certain jurisdictions require a witnessed signature or notarization for the document's validity or enforceability. The key observation is that neglecting this formality tends less to void the contract than to block registration of the security and thus its perfection against third parties, which is why closing checklists are so detailed.
